Licensing

This Licensing Agreement ("Agreement") is a legal agreement between you ("Licensee") and Cloudiff ("Licensor") regarding the use of our software and services ("Software"). By using the Software, you agree to be bound by the terms and conditions of this Agreement.

Grant of License

Subject to the terms of this Agreement, Cloudiff grants you a non-exclusive, non-transferable, limited license to use the Software for your internal business purposes. This license does not grant you any rights to use the Software for commercial purposes, resell, sublicense, or distribute the Software.

Restrictions

Unless expressly permitted under this Agreement, you agree not to:

• Copy, modify, or create derivative works of the Software.
• Reverse engineer, decompile, or disassemble the Software.
• Remove or alter any proprietary notices or labels on the Software.
• Use the Software in any manner that could damage, disable, overburden, or impair Cloudiff’s services or interfere with any other party's use of the Software.

Intellectual Property

The Software and all intellectual property rights, including but not limited to copyrights, patents, trademarks, and trade secrets, are owned by Cloudiff. This Agreement does not grant you any ownership interest in the Software.

Term and Termination

This Agreement is effective until terminated. Cloudiff may terminate this Agreement immediately if you fail to comply with any terms of this Agreement. Upon termination, you must cease all use of the Software and destroy all copies of the Software in your possession or control.

Warranty Disclaimer

The Software is provided "as is" without warranty of any kind, either express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Cloudiff does not warrant that the Software will meet your requirements or that the operation of the Software will be uninterrupted or error-free.

Limitation of Liability

In no event shall Cloudiff be liable for any special, incidental, indirect, or consequential damages whatsoever (including, but not limited to, damages for loss of profits, business interruption, loss of information) arising out of the use of or inability to use the Software, even if Cloudiff has been advised of the possibility of such damages.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of United Kingdom, without regard to its conflict of law principles.
